Employment Disputes
Blacks Solicitors’ expert Commercial Dispute Resolution team can help any employment dispute you might have and are always on hand to assist.
Employee Disputes
Our team have experience in dealing with a wide range of Commercial Agency Agreements, acting for both Principal and Agent.
We handle matters involving restraint of trade, which includes: Post-Termination Restrictive Covenants; misuse of confidential information; and Intellectual Property infringement. Typical Post-Termination Restrictive Covenants include solicitation of staff, customers, suppliers, working for a competitor in a restricted role or for clients of the former employer.
We can assist in all forms of Agency dispute, including termination (and threats of termination) of the Agency, and can also advise on any breaches of employment contracts (written or unwritten) both during employment and post-termination.
Director/Shareholder Disputes (including Derivative Actions)
Majority shareholders might be accused by minority shareholders of actions that unfairly prejudice their interests. The Courts can correct the position by winding up the company, or requiring one side to buy out the other.
A ‘Derivative Action’ is a claim brought by a shareholder (member) of a company against its directors and/or other officers in the name of, and for the benefit of, the company to seek redress for a breach of fiduciary duty, gross negligence, mis-management, or other serious matter.
If you are a shareholder and believe that a director has acted wrongly, but the company will not take any action against the director, you may be able to bring a derivative claim. The law is complex but we can advise on whether it is possible and how to go about it.
Partnership Disputes
Disputes can arise within a partnership, even where the partners have previously enjoyed a good relationship. It may be about the conduct of partners, the use of partnership resources, or other issues.
Any dispute within a business can cause damage and it is vital that disputes are resolved as quickly as possible. Not all partners have a Partnership Agreement in place to provide a framework for the resolution of a dispute.
Our team will take the time to understand the needs of your business and advise on the best method of resolution to ensure that any issues are resolved with minimal impact on the running of your business.
